    Mr. Sparks practices in a broad array of business and civil litigation in both state and federal courts, including matters involving contract disputes, business torts, employment law, large-loss subrogation, and intellectual property.

Representative examples include:
Successful representation of public company in breach of fiduciary duty lawsuit against three Board members and controlling shareholder. Prevented 67% shareholder from calling a special shareholders' meeting to elect its slate of directors. Secured appointment of provisional director to fill the company’s final Board seat, breaking a deadlock. The deadlock previously stalled the company’s efforts to close multi-million debt refinancing.


 

Successful defense of trustee of a $9 million trust against various breach of fiduciary duty claims brought by beneficiary. Defeated beneficiary’s claims and obtained all requests for declaratory relief.


 

Successful representation of several homeowners in dispute with homeowners’ association involving ocean view obstruction. Prepared winning opposition to property management company’s motion for summary judgment. Obtained judgment in the homeowners’ favor and award of attorneys’ fees and costs in excess of $650,000.
